1. Promotion Period. The "Win a Palm m125" promotion (the "Promotion") period begins on Monday, October 29, 2001 and ends on Monday, April 1, 2002. Promotion sponsored by DataCore Technology, Inc., 436 Creamery Way, Suite 100, Exton, PA 19341, U.S.A.

2. Eligibility. Entrants must have Internet access as of Monday, October 29, 2001. Employees or contractors of DataCore Technology, Inc., including the administrators of the drawing, the immediate families of such employees or contractors and the administrators of the drawing, together with those whom such persons are domiciled, and government employees associated with procurement (US, state, and local), unless otherwise authorized under the laws of the jurisdiction concerned, are not eligible.

3. To Enter. Entrants must complete a Registration Form (the "Registration Form") found here on this page. Limit one (1) Registration Form per Entrant. Failure to provide all of the information requested in the Registration Form may result in delay or rejection of your entry.

One (1) drawing will be held on or about April 1, 2002 and will be administered by DataCore Technology, Inc.

4. Prizes. One (1) prize will be awarded at each drawing. The prize will be awarded to the first eligible Entrant drawn from all Registration Forms submitted during the Promotion Period. The prize is a Palm m125 organizer with a retail value of approximately U.S. $249. Sales tax on the prize will be paid by DataCore Technology, Inc. The odds of winning the prize are dependent upon the number of eligible entries received.

Winners may waive the right to receive any prize. No cash or other substitution is allowed, except by Sponsor, which reserves the right to substitute a prize of comparable or greater value if a specified prize cannot be awarded as described for any reason. Prizes must be accepted as awarded and are non-assignable and nontransferable. Prizes will be shipped to winners United States address. Upon shipment, Sponsor will be deemed to have awarded the prize to the winner with winner assuming full ownership of and responsibility for the prize. Allow 4-6 weeks for delivery. Limit: one (1) prize per Entrant.

5. Terms and Conditions. Participation in the Promotion constitutes Entrant's full and unconditional agreement to and acceptance of these Official Rules and Entrant hereby releases Sponsor, its subsidiaries, divisions, affiliates, officers, directors, employees and agents from any and all liability arising out of Entrant's participation in the Promotion and Entrant's receipt and use of any prize. Sponsor is not responsible for lost, late, incomplete, illegible or misdirected email, for failed, partial or garbled computer transmissions, or for technical failures of any kind, including, but not limited to electronic malfunctioning of any facsimile equipment, network, hardware or software. The Registration Forms become the property of Sponsor and none will be returned. Except where prohibited, participation in this promotion constitutes Entrant's consent to the use of Entrant's name and company name, address (city and state) and/or photograph or any likeness for advertising or publicity purposes without further compensation. Sponsor reserves the right to cancel or modify the Promotion if fraud, technical failures or any other factor beyond Sponsor's reasonable control that impairs the integrity of the Promotion as determined by Sponsor in its sole discretion.

As a condition of entering this Promotion, Entrant agrees that all decisions of the Sponsor are final and conclusive in all matters relating to the administration of the Promotion and the determination of winners. Entrant further agrees that: (1) any and all disputes, claims, and causes of action arising out of or connected with this Promotion, or any prizes awarded, other than the administration of the Promotion or the determination of winners shall be resolved individually, without resort to any form of class action, and exclusively by arbitration under the International Arbitration Rules of the American Arbitration Association in San Francisco, California; (2) any and all claims, judgments and awards shall be limited to actual out of pocket costs incurred, including costs associated with entering this Promotion but in no event attorneys' fees; and (3) under no circumstances will Entrant be permitted to obtain awards for and Entrant hereby waives all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased.

All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of Entrant and Sponsor in connection with the Promotion, shall be governed by, and construed in accordance with, the laws of the State of Pennsylvania, U.S.A., without giving effect to any choice of law or conflict of law rules or provisions, which would cause the application of the laws of any jurisdiction other than the State of Pennsylvania, U.S.A.
